About the role
An exciting opportunity has arisen for a talented individual to join our fast paced company as Deputy Company Secretary, reporting directly to the Chief Legal Officer & Company Secretary, to be responsible for day to day running of the secretariat and corporate governance.

The role would particularly suit an established Assistant Company Secretary with listed company experience who is looking to step up to the next level in this Deputy Company Secretary role, operating in a truly global environment.

Experience in listed companies is essential, as is an enthusiasm for high professional standards and corporate governance.

About the Legal team at Abcam
Our in-house legal team was created in 2015 and is led by Suzanne Smith, Chief Legal Officer & Company Secretary. The team also currently includes the Senior IP Counsel based in Cambridge, UK and a Senior Commercial Counsel based in Boston, MA. This small but dynamic team provides a professional and pragmatic service to our global business.

Roles & responsibilities:
  • Supporting the Company Secretary in the provision of advice to the Board on requirements of the Corporate Governance Code, the AIM Rules, Market Abuse Regulation and general company law
  • Annual report - drafting of the Corporate Governance section of the Annual Report, review of the Strategic Report, proof reading of other sections and project management of the process
  • Board Support - support to the plc Board and Committees in the preparation of agendas and forward planners of agenda items and ensuring follow up actions
  • Annual General Meeting - Leading the organisation of the AGM and preparation of AGM documents
  • Secretary to the Disclosure Committee
  • Responsibility for drafting and releasing regulatory announcements
  • Managing Insider lists and share dealing process
  • Assistance with the dividend process
  • Maintenance of the Directors interest, conflicts and related party registers
  • Provision of company secretarial support on mergers and acquisition
About you
The ideal candidate will be a graduate of law or finance, ACIS / FCIS qualified with strong PLC listed company experience. You should be technically strong with an astute and demonstrable understanding of relevant legislative, regulatory and best practice requirements.

You will possess excellent attention to detail with a high level of problem-solving skills and the ability to handle issues sensitively and confidentially.

The successful candidate will be pragmatic, driven and forward thinking with the ability to work independently and effectively in a fast paced and rapidly changing environment.
